Quellvane End User Licence Agreement

This End User Licence Agreement (the Agreement) is between you (the person or the organisation you represent, such as a hospital) and Essential Performance LLC, doing business as DuurveX-Tech ("DuurveX-Tech", "we", "us"). It governs your use of Quellvane, in its web edition and its installed edition (the Software).
By selecting Agree, installing, or using the Software, you accept this Agreement. If you do not agree, do not use the Software. If you accept on behalf of an organisation, you confirm you have authority to bind it.
1. Licence
Access by approval. Access is granted only to named people we approve. Each approval is for one person and one work email address.
Free trial. When we approve a free trial, pilot or evaluation, we grant you a non-exclusive, non-transferable licence to use the Software free of charge for internal evaluation for 30 days from the date of approval, or for any other period stated in your approval. When the trial ends, access ends unless you buy a licence.
Paid licence. After you buy a licence, we grant you a non-exclusive, non-transferable licence to use the Software for the sites, named users and period stated in your order, for your internal purposes.
2. Restrictions
You must not: (a) copy, sell, rent, sublicense or distribute the Software, except within your organisation as your licence allows; (b) share your sign-in, one-time codes or approval links with anyone; (c) remove, bypass, disable or tamper with sign-in, access controls or this agreement screen; (d) reverse engineer, decompile or modify the Software, except where the law expressly allows despite this restriction; (e) use the Software to build a competing product; (f) remove notices of ownership; (g) enter patient information, as described in section 5.
3. Ownership
The Software, its models, methods, designs, documentation and the names Quellvane and DuurveX-Tech are owned by DuurveX-Tech and its licensors and are protected by intellectual property laws. You receive only the rights stated in this Agreement. Feedback you give us may be used without obligation to you.
4. Your data
Projects, studies, device and lot records, reports and other data you create (Your Data) belong to you or your organisation.
In the web and installed editions, Your Data is stored on your device, in your browser storage and in project files you save. We do not receive or process it. You are responsible for backing it up and for having the right to use any data you enter.
Sign-in information (your email address and sign-in events) is processed by our access provider as described in the Quellvane Privacy Policy.
5. No patient information
Quellvane is designed to record devices, lots, times, rooms and procedure types only. You must not enter patient names, medical record numbers, dates of birth, images or any other information that identifies a patient, in any field, project file or spoken phrase.
You are responsible for following your organisation's privacy and security policies and the laws that apply to you, including HIPAA in the United States.
6. Voice features
Speech recognition is provided by your web browser. Depending on the browser, audio may be processed by the browser maker's speech service under its own terms. Quellvane does not store audio.
Use voice features in procedure rooms only after review and approval by your organisation's privacy, IT and clinical leadership. Evaluation editions are intended for demonstrations and non-clinical settings.
7. Not a medical device; your decisions
The Software produces statistical estimates, drafts and suggestions. They depend on your inputs and on modelling assumptions and may be wrong.
The Software is not a medical device and is not intended to diagnose, treat or support clinical decisions for any patient. Device holds, recalls, patient follow-up, adverse event reports (such as FDA MedWatch or medical device reports) and other regulatory obligations remain the responsibility of qualified people in your organisation and your own processes. Qualified people must review every result before relying on it.
8. Fees
Paid licences are priced as quoted by us. Fees are non-refundable except where we agree in writing or the law requires.
9. Updates and support
We may provide updates. Some features may change or be removed. When this Agreement changes, the Software asks you to accept the new version. Support, if included in your order, is provided by email on business days.
10. Warranty disclaimer
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE OR ITS RESULTS WILL BE ERROR-FREE OR UNINTERRUPTED.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR DATA, ARISING FROM THE SOFTWARE OR ITS RESULTS. OUR TOTAL LIABILITY UNDER THIS AGREEMENT IS LIMITED TO THE FEES YOU PAID FOR THE SOFTWARE IN THE 12 MONTHS BEFORE THE CLAIM, OR US $100 DURING A FREE TRIAL, PILOT OR EVALUATION.
12. Suspension and termination
We may suspend or revoke access at any time, for example if we believe this Agreement has been breached or to protect the Software or other users. This Agreement ends automatically if you breach it. When it ends, stop using the Software. Sections 3, 4, 5, 7, 10, 11 and 14 survive.
13. Export and law compliance
You must comply with applicable export control and sanctions laws and must not use the Software in prohibited countries or for prohibited end uses.
14. General
Governing law: the laws of the State of California, USA, without regard to conflict of law rules. Courts in Alameda County, California have exclusive jurisdiction, unless the law of your country gives you rights that cannot be waived.
If a provision is unenforceable, the rest remains in effect. This Agreement, with any order terms, is the entire agreement about the Software. Questions: contact@duurvextech.com.
